Welcome to NexPept (“NexPept,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of nexpept.ca (the “Site”) and any purchase of products through the Site. By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, you must not access or use the Site.

1. Eligibility

You must be at least 18 years of age to access this Site or purchase any product from NexPept. By using the Site, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding agreement;
• You are located in Canada, or are otherwise legally permitted to receive shipments of research compounds in your jurisdiction; and
• All information you provide to us is accurate, current, and complete.

NexPept reserves the right to request age or identity verification at any time and to refuse or cancel any order where eligibility cannot be confirmed.

2. Research Use Only — No Human or Veterinary Use

By purchasing from NexPept, you represent, warrant, and agree that:

1. You are purchasing solely for legitimate research, laboratory, or analytical purposes;
2. You will not administer, ingest, inject, or otherwise introduce any product into a human or animal body;
3. You will not resell, redistribute, or supply any product to any third party for human or veterinary use;
4. You possess (or have access to) the training, facilities, and qualifications necessary to handle research chemicals safely;
5. You are solely responsible for determining that your intended use complies with all applicable federal, provincial, and local laws; and
6. You understand that any statements on this Site regarding research findings, peer-reviewed studies, or mechanisms of action describe published third-party research only and are not claims about the safety, efficacy, or suitability of NexPept’s products for any particular purpose.

NexPept products are not drugs, foods, dietary supplements, cosmetics, or medical devices and have not been evaluated or approved for human or animal use by Health Canada, the FDA, or any other regulatory body.

NexPept reserves the right to refuse, cancel, or limit any order, at its sole discretion, where there is reason to believe a product will be used inconsistently with this section.

3. Accounts

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. NexPept is not liable for any loss arising from your failure to safeguard your account credentials.

4. Product Information & Pricing

We make reasonable efforts to ensure that product descriptions, images, weights, and pricing on the Site are accurate. However:

• We do not warrant that product descriptions or other content is error-free, complete, or current;
• Colours, packaging, and vial appearance may vary from images shown;
• In the event of a pricing or listing error, NexPept reserves the right to cancel any order (in whole or in part), refund any amount paid, and correct the error — even after an order confirmation has been issued; and
• All prices are listed in Canadian dollars (CAD) unless otherwise stated, and are subject to change without notice.

Certificates of Analysis (COAs), where referenced, reflect batch-specific third-party testing and are provided for informational purposes; they are not a guarantee regarding any specific unit purchased.

5. Orders & Payment

• All orders must be paid in full before processing and shipment.
• We accept the payment methods indicated at checkout (which may include credit/debit card, Interac e-Transfer, and select cryptocurrencies). Availability of any given method may change at any time without notice.
• By submitting payment, you represent that you are authorized to use the payment method provided.
• NexPept reserves the right to refuse, hold, delay, limit the quantity of, or cancel any order at its sole discretion, including in cases of suspected fraud, suspected misuse, pricing errors, or violation of these Terms.
• Orders that remain unpaid (e.g., pending e-Transfer or crypto payment) for an extended period may be automatically cancelled without notice.

5.1 Chargebacks & Payment Disputes

Filing a chargeback or payment dispute for an order that was fulfilled and delivered in accordance with these Terms is treated as a breach of these Terms and may result in the suspension or termination of your account, forfeiture of any loyalty or affiliate credits, and pursuit of the disputed amount through applicable legal channels. We encourage you to contact our support team directly to resolve any order issue before initiating a chargeback.

6. Shipping & Risk of Loss

• NexPept currently ships to addresses within Canada only.
• Estimated delivery times shown on the Site or in order confirmations are estimates only and are not guaranteed.
• Once an order has been tendered to the shipping carrier, risk of loss and title to the products pass to you, and NexPept is not responsible for delays, loss, or damage caused by the carrier, customs, weather, labour disruptions, or other events outside our reasonable control.
• Tracking information will be provided where available. It is your responsibility to ensure the shipping address provided is accurate and accessible.
• Packages are shipped in discreet, plain packaging that does not reference product names or contents on the exterior.

7. Returns & Refunds

Due to the nature of our products, all sales are final, except as expressly set out in our Return & Refund Policy. Claims regarding damaged, incorrect, missing, or defective items must be submitted to Support@NexPept.ca within a reasonable time following delivery (see our Refund Policy for specific timelines) and may require photo or video evidence.

8. Prohibited Uses

In addition to the restrictions in Section 2, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Site, our systems, or other users’ accounts;
• Use any automated system (bot, scraper, etc.) to access the Site without our prior written consent;
• Interfere with or disrupt the operation of the Site or servers/networks connected to it;
• Misrepresent your identity, age, or purpose in purchasing; or
• Use the Site to transmit any harmful code, spam, or unlawful content.

We reserve the right to suspend or terminate access to the Site for anyone who violates this section.

9. Intellectual Property

The content on this Site — including our logo, product photos, and written content — belongs to NexPept. Please don’t copy, reuse, or repost it without asking us first.

10. Third-Party Links

The Site may contain links to third-party websites (e.g., payment processors, shipping carriers, or referenced research publications). NexPept does not control and is not responsible for the content, accuracy, or practices of any third-party site. Inclusion of a link does not imply endorsement.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and all products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. NexPept does not warrant that the Site will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

• NexPept, its owners, officers, employees, affiliates, and suppliers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to your use of the Site or any product purchased, including but not limited to loss of data, loss of research results, or personal injury, even if advised of the possibility of such damages;
• NexPept’s total aggregate liability arising from or relating to these Terms or any purchase shall not exceed the amount you paid for the product(s) giving rise to the claim; and
• Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless NexPept, its owners, employees, affiliates, suppliers, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use, misuse, or handling of any product; (c) your violation of any law or regulation; or (d) your infringement of any third-party right.

14. Assumption of Risk

You acknowledge that research compounds may present physical, chemical, or health risks if handled, stored, or used improperly. You assume full responsibility for the safe handling, storage, transportation, and disposal of any product purchased from NexPept, and agree to follow all applicable laboratory safety standards and protocols.

15. Privacy

Your use of the Site and any personal information you provide are governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Termination

We may suspend or terminate your access to the Site or your account at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to NexPept or other users. Sections that by their nature should survive termination — including Sections 2, 7, 11–14, and 17 — will survive.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada. If a dispute comes up, please contact us first at Support@NexPept.ca so we can try to resolve it directly.

18. Force Majeure

NexPept shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, labour disputes, carrier disruptions, government action, or public health emergencies.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Changes to These Terms

NexPept reserves the right to update, modify, or replace these Terms at any time, at our sole discretion, without prior notice. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
